Acceptance of Terms

By accessing or using the Wriloop platform at wriloop.com (the "Platform"), registering an account, or using any of our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Wriloop Inc. ("Wriloop," "we," "us," or "our"). They apply to all visitors, registered users, and others who access or use the Platform.

Please read these Terms carefully before using Wriloop. Your continued use of the Platform constitutes ongoing acceptance of any updates to these Terms.

Who We Are

Wriloop Inc. is a company that operates a community platform for writers, primarily serving users in the United States and Canada. Our Platform connects writers with peers and experienced Writing Advisors for feedback, community engagement, and creative development.

Eligibility

To use Wriloop, you must:

Your Account

You may register for a Wriloop account using your Google account (via Google OAuth) or other authentication methods we make available. When you create an account, you agree to:

We reserve the right to suspend or terminate accounts that we believe are being misused, created fraudulently, or in violation of these Terms.

The Platform & Services

Wriloop provides a community platform designed for writers, including the following features:

The community features of Wriloop are free to access. Paid features (such as Writing Advisor sessions) are described in Section 8.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.

User Content

The Platform allows you to submit, post, and share text, creative writing, comments, and other content ("User Content"). You retain ownership of the intellectual property rights in your User Content.

By posting User Content on Wriloop, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the Platform. This license ends when you delete your content or your account, except where copies have been made by other users (such as comments or shares).

You represent and warrant that:

We do not endorse any User Content and are not responsible for User Content posted by others.

Prohibited Conduct

You agree not to use the Platform to:

We reserve the right to remove any User Content and suspend or terminate any account that violates these prohibitions, at our sole discretion.

Paid Services & Payments

Certain features of Wriloop, including Writing Advisor feedback sessions, require payment. All payments on the Platform are processed by Stripe, Inc., a third-party payment processor. By making a payment through Wriloop, you also agree to Stripe's terms of service.

When you book a paid session:

Refund Policy: Refund eligibility depends on the specific session and circumstances. Please contact hello@wriloop.com within 48 hours of a completed session if you believe a refund is warranted. We review refund requests on a case-by-case basis and reserve the right to issue or deny refunds at our discretion.

We reserve the right to change pricing at any time. Changes will not affect sessions already booked and paid.

Writing Advisors

Writing Advisors are independent individuals who offer paid feedback sessions through the Platform. Wriloop facilitates payments between users and Writing Advisors using Stripe Connect. Writing Advisors are not employees, agents, or contractors of Wriloop — they are independent service providers.

By using Writing Advisor services, you acknowledge that:

Writing Advisors who register on the Platform agree to additional terms applicable to advisors. Wriloop reserves the right to remove any Writing Advisor from the Platform at its sole discretion.

Intellectual Property

The Wriloop name, logo, branding, website design, and all Platform features and functionality (excluding User Content) are the property of Wriloop Inc. and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Platform or its content, nor may you reverse engineer or attempt to extract the source code of the Platform, without our express written permission.

Your User Content remains yours. Nothing in these Terms transfers ownership of your writing to Wriloop.

Privacy

Your use of Wriloop is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.

Third-Party Services

Wriloop integrates with several third-party services to operate the Platform, including:

These services have their own terms of service and privacy policies. Wriloop is not responsible for the practices of these third parties. By using the Platform you may also be subject to their terms.

The Platform may also contain links to external websites. We are not responsible for the content or privacy practices of any linked websites.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WRILOOP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

Feedback provided by Writing Advisors or community members does not constitute professional literary, legal, psychological, or any other type of professional advice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WRILOOP INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL WRILOOP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WRILOOP IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Wriloop Inc. and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, with arbitration to be conducted in the United States.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Canadian Users: If you are accessing the Platform from Canada, certain consumer protection laws may apply to you that cannot be waived by contract. Nothing in these Terms limits any rights you have under applicable Canadian provincial consumer protection legislation.

If you have a complaint about the Platform, please contact us first at hello@wriloop.com — we would prefer to resolve issues directly.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your account) and/or by displaying a prominent notice on the Platform at least 14 days before the changes take effect.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Platform.

Termination

You may delete your account at any time through your account settings or by contacting us at hello@wriloop.com. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

We may suspend or terminate your access to the Platform immediately, without prior notice or liability, if we reasonably believe you have violated these Terms or for any other reason at our sole discretion. We will endeavor to notify you by email when possible.

Upon termination, the following sections of these Terms survive: User Content (license for pre-existing copies), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law & Disputes.
